Welcome to Muyyo, a community-driven B2B2C e-commerce platform (“Platform”) operated by Muyyo.in (“Muyyo,” “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of our website, mobile application, and related services. By using the Platform, you agree to be bound by these Terms.

If you do not agree with these Terms, please refrain from using Muyyo.

1. Definitions

• Manufacturer / Supplier: A verified business entity listing or selling products through Muyyo.
• Retailer: A business purchasing from manufacturers for resale or direct sale to consumers.
• Promoter: A registered individual or community member who promotes listed products through referral links or social channels.
• Consumer: The end customer purchasing products through Muyyo.
• User: Any individual or business accessing or using the Platform in any capacity.

2. Eligibility

To use Muyyo, you must:

• Be at least 18 years of age.
• Possess a valid ID or business license (for business users).
• Provide accurate and verifiable contact and banking information.

Muyyo reserves the right to verify your details before granting access to full platform features.

3. Account Registration

Users must create an account to list, promote, or purchase products. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

• You agree to provide true, current, and complete information.
• Muyyo may suspend or terminate accounts involved in fraudulent, misleading, or prohibited activity.

4. Platform Usage

Muyyo provides a digital marketplace that facilitates:

• Listing and sale of products by manufacturers and retailers.
• Promotion of products by community promoters.
• Purchase and delivery to end consumers.

Muyyo acts as a facilitator, not a direct seller, unless otherwise stated. All transactions occur directly between the relevant parties (Manufacturer ↔ Retailer ↔ Promoter ↔ Consumer).

5. Roles and Responsibilities

a. Manufacturers / Retailers

• Must ensure all products are genuine, legally sourced, and accurately described.
• Are responsible for inventory, pricing, order fulfilment, and warranty (if applicable).
• Must comply with product safety, labelling, and trade laws of their operating country.

b. Promoters

• Can share and promote listed products using personalized referral links.
• Must not use misleading, offensive, or false marketing tactics.
• Will earn commissions as per Muyyo’s referral policy, credited upon successful transactions.

c. Consumers

• Are responsible for reviewing product details before purchase.
• Must ensure correct shipping address and contact information.
• Should report defective or incorrect products within the return window.

 6. Payments and Commissions

• Payments for product purchases and promoter commissions are processed securely via authorized payment gateways.
• Muyyo may deduct applicable service charges or taxes before crediting payouts.
• Commission eligibility is subject to successful transaction completion and return policy timelines.

7. Cancellations, Returns, and Refunds

Each seller or manufacturer on Muyyo defines its return and refund policy, displayed on the product page.
Muyyo facilitates communication but is not liable for the quality, delay, or warranty of goods.

Refunds (if applicable) will be processed to users muyyo account and transferred to customer account upon request within the defined period after approval.

8. Prohibited Activities

Users must not:

• Post or sell counterfeit, illegal, or restricted items.
• Violate intellectual property rights or engage in fraudulent promotions.
• Misuse referral codes or manipulate commissions.
• Spread misinformation, spam, or malicious software.
• Interfere with the platform’s security, performance, or integrity.

Violation of these terms may lead to account suspension, commission forfeiture, or legal action.

9. Intellectual Property

All content on Muyyo—including logos, designs, product listings, and technology—is the intellectual property of Muyyo.in and its licensors.
Users may not copy, reproduce, or distribute any platform content without written consent.

 10. Limitation of Liability

Muyyo acts as a digital intermediary. While we aim to ensure smooth operations, Muyyo is not liable for:

• Product defects, quality issues, or delivery delays.
• Financial losses or damages arising from unauthorized account access.
• Third-party content, advertisements, or external links.

Our total liability, under any circumstances, shall not exceed the total fees paid by you (if any) for using the platform in the past 3 months.

11. Data Privacy

Muyyo collects and processes user information in accordance with our Privacy Policy, compliant with India’s DPDP Act 2023, UAE PDPL 2022, Saudi PDPL 2023, and GDPR (EU/UK).
By using Muyyo, you consent to our data practices described in the Privacy Policy.

12. Cross-Border Use

As Muyyo operates in India, the UAE, and Saudi Arabia, users agree that their transactions and communications may be processed across jurisdictions. All data transfers comply with international privacy standards.

13. Termination

Muyyo reserves the right to suspend or terminate access if a user:

• Violates these Terms or local laws.
• Engages in fraudulent or harmful activity.
• Misuses the community or promotion system.

Users may deactivate their accounts anytime by contacting support@muyyo.in.

14. Indemnification

You agree to indemnify and hold harmless Muyyo, its affiliates, officers, and employees against any claims, losses, or damages resulting from your use of the Platform or breach of these Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of:

• India for Indian users,
• United Arab Emirates for UAE users, and
• Kingdom of Saudi Arabia for Saudi users.

Any disputes shall be subject to the exclusive jurisdiction of the respective local courts.

16. Changes to These Terms

Muyyo may revise these Terms periodically. Updates will be posted with a new “Effective Date.” Continued use of the Platform constitutes acceptance of the revised Terms.
